This document sets out the standard terms governing engagements between FlamaFlys (“Flama,” “we,” “us”) and the client (“Client,” “you”). It applies to all Silver, Gold and Platinum engagements and Specialist Modules referenced in the FlamaFlys Catalog, and should be read alongside the specific proposal or work order issued for each engagement. Amounts referenced are in Bangladeshi Taka (৳) unless stated otherwise.
1. Scope of Engagement
Each engagement is defined by a written proposal, quotation, or Statement of Work (“SOW”) issued by Flama and accepted by the Client. The SOW sets out the package tier (Silver, Gold or Platinum), included deliverables, timeline and fees.
Work outside the agreed SOW is treated as a Change Request (see Section 5) or a Specialist Module (see Section 9).
Package inclusions follow the FlamaFlys Catalog current at the time the SOW is signed. Catalog updates do not retroactively change an active SOW.
Flama will confirm a single point of contact on each side for day-to-day coordination.
2. Payment Terms
2.1 Project-Based Engagements (Silver / Gold)
50% deposit is due before work commences; the remaining 50% is due on delivery, prior to final handover of assets, source files or website credentials.
For engagements delivered in phases, payment may instead be split by milestone as defined in the SOW.
Invoices are payable within 7 days of issue unless otherwise agreed in writing.
Late payments may pause active work and delay the delivery timeline by an equivalent period.
Retainer fees are billed in advance for each 30-day or quarterly cycle, as applicable.
Retainers renew automatically at the end of each cycle unless either party gives written notice per Section 7.
2.3 Specialist Modules
Modules are quoted and invoiced independently of the core engagement. Standard project payment terms (Section 2.1) apply unless the module SOW states otherwise.
All fees exclude applicable taxes, third-party costs (e.g. stock licensing, paid media spend, hosting, domain registration, SaaS subscriptions) and any government levies, which are billed separately or passed through at cost.
3. Project Timelines
Indicative timelines are stated per tier: Silver 3–4 weeks, Gold 6–8 weeks, Platinum ongoing in quarterly cycles.
Timelines begin once the deposit is received and all required inputs (brand assets, copy direction, access credentials, approvals) have been provided by the Client.
Delays caused by late Client feedback, missing inputs or scope changes will extend the timeline accordingly and are not treated as delays on Flama’s part.
Flama will flag any timeline risk as soon as it is identified.
4. Revisions Policy
Each deliverable includes up to two (2) rounds of revisions within the original scope, unless otherwise stated in the SOW.
A revision round means consolidated feedback returned in a single pass, not incremental single-item requests spread over time.
Requests that change the original brief, add new pages, assets or functionality are treated as Change Requests, not revisions.
Additional revision rounds beyond those included can be quoted and added on request.
5. Change Requests & Scope Changes
Any request to add, remove or materially alter deliverables after the SOW is signed is a Change Request. Flama will provide a written estimate of additional cost and/or timeline impact before proceeding. Work on a Change Request begins only after written approval from the Client.
6. Ownership & Intellectual Property
Final, fully paid deliverables (brand assets, website files, creative assets) transfer to the Client upon full and final payment.
Working files, source files, design systems and pre-final drafts remain the property of Flama unless explicitly included in the SOW or purchased separately.
Flama retains the right to display completed work in its portfolio, case studies and marketing materials unless the Client requests confidentiality in writing.
Third-party assets (stock photography, fonts, plugins, licensed software) remain subject to their original licensing terms and are not owned outright by either party.
Any pre-existing Flama tools, frameworks, templates or proprietary systems used to deliver the work remain the property of Flama.
7. Cancellation & Refund Policy
The Client may cancel a project engagement in writing at any time. Fees for work already completed, plus any committed third-party costs, are non-refundable.
Deposits are non-refundable once work has commenced, as they secure allocated team time and resourcing.
Retainer and growth engagements may be cancelled with 30 days’ written notice before the next billing cycle. No partial refunds are issued for a cycle already in progress.
Flama reserves the right to pause or terminate an engagement where payment is more than 14 days overdue, or where the Client fails to provide inputs needed to continue work for more than 30 days.
8. Confidentiality
Both parties agree to keep confidential any non-public business, financial, strategic or technical information shared during the engagement, and to use it only for the purposes of delivering the engagement. This obligation survives the end of the engagement.
9. Specialist Modules
Motion/Video Production, Photography Direction, Copywriting & Naming, and Ongoing SEO are scoped and delivered as discrete work orders, independent of the core package. Each module follows its own timeline, revision allowance and payment terms as set out in its individual SOW.
10. Client Responsibilities
Provide timely feedback, approvals and requested materials (brand assets, copy, product information, platform access).
Designate a single point of contact authorised to approve deliverables and sign off on Change Requests.
Ensure any content or material supplied to Flama does not infringe third-party rights.
Maintain accurate billing and contact information.
11. Communication & Reporting
Project engagements: progress updates at each milestone, plus a kickoff and final handover session.
Gold 90-day growth window: structured review at 30, 60 and 90 days covering performance, learnings and next priorities.
Platinum: quarterly strategy review with a dedicated strategy lead, plus ongoing reporting cadence agreed with the Client.
12. Limitation of Liability
Flama’s total liability arising from an engagement is limited to the total fees paid by the Client for that specific engagement. Flama is not liable for indirect, incidental or consequential losses, including loss of revenue, data or business opportunity, except where such liability cannot be excluded by law.
13. Force Majeure
Neither party is liable for delay or failure to perform obligations caused by circumstances beyond its reasonable control, including natural disaster, government action, internet or platform outages, or other events of force majeure. The affected party will notify the other as soon as practicable.
14. Governing Law
This policy and any engagement made under it are governed by the laws of Bangladesh. Any dispute not resolved through good-faith discussion will be subject to the jurisdiction of the courts of Bangladesh.
15. Acknowledgement
By signing a FlamaFlys proposal, quotation or Statement of Work, the Client confirms they have read, understood and agreed to this Client Service Policy.
